1. INTRODUCTION AND ACCEPTANCE

These Terms of Service (“Terms”) govern access to and use of https://shingieti.com, its features, and related services provided by Posterity Technologies, LLC (“Company,” “we,” “us,” or “our”), collectively referred to as “Posterity Technologies services” or the “Services.”

The Services include website features, solution services, website and application development, consulting, and coaching.

By using the Services after receiving reasonable notice of these Terms, or by affirmatively accepting them when requested, you agree to these Terms to the extent enforceable under applicable law. If you do not agree, discontinue use of the Services.

If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization.

Nothing in these Terms limits rights, remedies, or protections that applicable law does not permit us to limit.

2. AGE REQUIREMENTS

The website and its general features are intended for individuals age 13 and older. Children under 13 are not permitted to use the Services.

If you are under 18, you may use age-appropriate website features with the permission and supervision of a parent or legal guardian. A parent or legal guardian must enter into any paid service agreement on your behalf unless you otherwise have legal capacity to enter that agreement under applicable law.

Permission to use the website does not establish that a minor has legal capacity to enter into a binding contract.

3. SERVICES AND SEPARATE AGREEMENTS

Access to the website and its features is free unless otherwise clearly indicated before you incur a charge.

Certain services, including development projects, consulting, coaching, or other professional engagements, may require a separate proposal, statement of work, contract, or other agreement.

A separate agreement may specify scope, pricing, payment schedules, deliverables, timelines, client responsibilities, confidentiality, intellectual property ownership, cancellation, refunds, warranties, and other project-specific terms.

If a separate agreement expressly conflicts with these Terms, that agreement controls for the services it covers.

We may update or modify website features from time to time. Changes to contracted services remain subject to the applicable agreement and law.

4. ACCEPTABLE USE

You may use the Services only for lawful purposes and in accordance with these Terms.

You agree not to:

  1. Use the Services for unlawful, fraudulent, deceptive, or abusive purposes.
  2. Infringe another person’s intellectual property, privacy, publicity, or other rights.
  3. Introduce malware, malicious code, or other harmful material.
  4. Attempt to gain unauthorized access to systems, networks, or data.
  5. Circumvent security measures or access restrictions.
  6. Disrupt the Services or place an unreasonable burden on their infrastructure.
  7. Use the Services to harass, threaten, impersonate, or exploit others.
  8. Copy, resell, or commercially exploit our website content or features without authorization.
  9. Use automated tools in violation of applicable law or access restrictions.
  10. Reverse engineer software made available through the Services, except to the extent applicable law permits despite this restriction.

We may restrict access to protect the Services, users, or third parties from violations of these Terms or legal and security risks.

5. INTELLECTUAL PROPERTY

Unless otherwise stated, the website and its original content, software, designs, graphics, branding, and other materials are owned by Posterity Technologies, LLC or its licensors and are protected by applicable intellectual property laws.

We grant you limited, nonexclusive, nontransferable permission to access and use website materials for their intended purposes, subject to these Terms. This permission does not transfer ownership or authorize redistribution, resale, or creation of derivative works except as permitted by law or our written consent.

Ownership and licensing of custom websites, applications, code, designs, and other project deliverables will be addressed in the applicable service agreement. These Terms alone do not transfer ownership of project deliverables or either party’s preexisting intellectual property.

You may not use our name or branding to imply sponsorship, endorsement, or affiliation without our written permission.

6. PAYMENTS, CANCELLATIONS, AND REFUNDS

Services and access are free unless otherwise indicated. Before a paid purchase or engagement, we will disclose the price and applicable payment terms.

Unless a separate agreement, disclosed purchase terms, or applicable law provides otherwise, all sales are final and payments are nonrefundable. A cancellation request does not, by itself, entitle you to a refund.

A separate contract or agreement may establish different cancellation and refund rights, including terms for deposits, completed work, expenses, and services not yet performed.

If we cancel a paid engagement or fail to provide purchased services, we will refund amounts attributable to services not provided unless an applicable agreement establishes a lawful alternative. Nothing in this section permits us to retain payments where a refund is legally required.

Questions and requests concerning payments, cancellations, refunds, or other service matters may be directed to support@posteritytech.biz.

7. FUTURE SUBSCRIPTIONS

We do not currently offer free or paid subscriptions.

If subscriptions, free trials, or automatically renewing services are introduced, their pricing, billing frequency, renewal conditions, trial terms, and cancellation procedures will be disclosed before enrollment.

We will obtain any consent required by law and provide required acknowledgments, notices, and cancellation mechanisms. These Terms do not authorize future recurring charges without the required disclosures and consent.

For any future subscription, cancellation will stop future renewals as disclosed at enrollment and required by law. Refund terms will be disclosed before purchase and remain subject to applicable law.

8. PRIVACY

Information about our collection, use, disclosure, and retention of personal information is addressed in our Privacy Policy at:

https://shingieti.com/privacy.html

Acceptance of these Terms does not, by itself, constitute consent to processing for which separate consent is legally required.

9. INFORMATION, CONSULTING, AND COACHING

Website materials, consulting, and coaching may provide general information, guidance, and recommendations. They do not constitute legal, medical, investment, or other regulated professional advice.

You remain responsible for your decisions and for seeking qualified professional advice where appropriate.

Unless expressly promised in a separate agreement, we do not guarantee particular business results, revenue, rankings, traffic, employment outcomes, or other results from using the Services. Outcomes may depend on factors outside our control.

This section does not excuse failure to perform obligations expressly undertaken in a service agreement.

10. THIRD-PARTY SERVICES

The Services may link to or rely on third-party websites, software, hosting providers, platforms, or other services.

Third-party services may be governed by separate terms, fees, and privacy practices. A link or integration does not, by itself, constitute an endorsement.

To the extent permitted by law, we are not responsible for the independent acts, omissions, content, or availability of third parties. This provision does not eliminate obligations we expressly undertake in a service agreement or responsibility imposed on us by applicable law.

11. WARRANTY DISCLAIMER

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR EXPRESS WARRANTIES IN A SEPARATE AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT TO THE EXTENT THOSE WARRANTIES MAY LAWFULLY BE DISCLAIMED.

WE DO NOT GUARANTEE THAT THE WEBSITE OR ITS FEATURES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT WEBSITE INFORMATION WILL ALWAYS BE COMPLETE, ACCURATE, OR CURRENT.

NOTHING IN THESE TERMS DISCLAIMS AN EXPRESS WARRANTY WE HAVE MADE OR A WARRANTY THAT APPLICABLE LAW PROHIBITS US FROM DISCLAIMING.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, POSTERITY TECHNOLOGY, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, INCLUDING LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THIS EXCLUSION DOES NOT APPLY TO FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, OR ANY LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED. IT DOES NOT LIMIT NONWAIVABLE CONSUMER RIGHTS OR REMEDIES.

Any additional limitation of liability for a specific engagement must be established in the applicable separate agreement and comply with applicable law.

13. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless Posterity Technologies, LLC and its officers, directors, employees, and agents against third-party claims, liabilities, damages, and reasonable legal expenses to the extent caused by your unlawful use of the Services, material breach of these Terms, or infringement of another person’s rights.

This obligation does not apply to the extent a claim results from our negligence, breach of these Terms, or other wrongful conduct.

We will promptly notify you of a covered claim and reasonably cooperate in its defense. You may control the defense using reasonably qualified counsel. You may not settle a claim in a manner that imposes an obligation on us or admits fault on our behalf without our prior written consent, which will not be unreasonably withheld.

This provision applies only to persons or entities legally bound by it and does not impose a contractual indemnification obligation on a minor who lacks legal capacity to undertake it.

14. SUSPENSION AND DISCONTINUATION

We may suspend or restrict website access for material violations of these Terms, unlawful conduct, or legal and security risks. When reasonably practicable, we will provide notice and an opportunity to address the issue.

You may stop using the website at any time. Termination of a separate paid engagement is governed by its applicable agreement and law.

We may discontinue free website features. Discontinuation does not eliminate obligations concerning paid services, applicable refunds, or rights that have already accrued.

Provisions concerning intellectual property, accrued payment obligations, disclaimers, liability, indemnification, and disputes survive discontinuation to the extent applicable.

15. EVENTS OUTSIDE OUR CONTROL

To the extent permitted by law, we are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, governmental actions, widespread infrastructure outages, or similar events.

We will make reasonable efforts to reduce their impact. This section does not eliminate legally required refunds or obligations under an applicable service agreement.

16. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the Commonwealth of Virginia and applicable United States federal law, without regard to conflict-of-law rules. This choice does not deprive consumers of mandatory legal protections that otherwise apply.

For questions or disputes, contact support@posteritytech.biz. Informal discussions do not prevent either party from seeking urgent relief, meeting legal deadlines, or exercising nonwaivable rights.

Unless applicable law requires otherwise, proceedings concerning these Terms or the Services will be brought in Virginia state courts or federal courts located in Virginia having proper jurisdiction and venue. To the extent permitted by law, the parties consent to jurisdiction in those courts.

These Terms do not require arbitration or waive participation in a class action.

17. CHANGES TO THESE TERMS

We may update these Terms prospectively. Revised Terms will be posted with an updated effective date.

We will provide reasonable notice of material changes and obtain renewed acceptance where required by law. Changes will not retroactively alter accrued rights or disputes arising before the changes take effect.

Changes to a separately contracted engagement remain subject to that agreement’s amendment provisions.

18. GENERAL PROVISIONS

These Terms, together with applicable purchase terms and separate agreements, govern the Services within their respective scope.

If a provision is held unenforceable, the remaining provisions will remain effective to the extent permitted by law.

Failure to enforce a provision does not waive the right to enforce it later.

Neither party may assign a separate service agreement except as that agreement permits. We may transfer these Terms in connection with a merger, reorganization, or sale of the relevant business, provided the transfer does not reduce your contractual or statutory rights.

These Terms do not create an employment, partnership, joint venture, or agency relationship.
